Terms of Service

1. Acceptance of Terms

By accessing or using the Scholytics platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Scholytics provides a cloud-based school management platform that enables educational institutions to:

• Manage student enrollment and records
• Track teacher information and class assignments
• Record and analyze attendance data
• Manage academic results and performance analytics
• Generate reports and insights for decision-making

3. Account Registration & Responsibility

• Schools must provide accurate and complete information during registration
• Account credentials must be kept secure and confidential
• The school is responsible for all activities that occur under its account
• Schools must promptly notify Scholytics of any unauthorized access or security breach
• Each authorized user must have their own unique login credentials

4. Data Responsibility & Accuracy

Schools are solely responsible for:

• The accuracy, completeness, and legality of all data uploaded to the platform
• Obtaining necessary consents for collecting and processing student and teacher information
• Complying with applicable data protection laws and regulations
• Maintaining appropriate backups of their data (though Scholytics maintains system backups)

Scholytics does not independently verify or validate data entered by users.

5. Acceptable Use Policy

Users of Scholytics agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to other accounts or systems
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to harass, abuse, or harm others
• Resell or redistribute the Service without authorization

6. Service Availability & Maintenance

We strive to maintain high availability of the Scholytics platform. However, we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance from time to time, and we will make reasonable efforts to notify schools in advance of any planned downtime.

7. Subscription & Payment Terms

Access to certain features of the Service may require payment of subscription fees. Subscription terms, pricing, and payment schedules are outlined in the applicable order form or subscription agreement. Failure to pay applicable fees may result in suspension or termination of access to the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Scholytics shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from inaccurate data entered by users
• Service interruptions or technical issues beyond our reasonable control

Our total liability for any claims relating to the Service shall not exceed the amount paid by the school for the Service during the twelve (12) months preceding the claim.

9. Indemnification

Schools agree to indemnify and hold harmless Scholytics, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Violation of these Terms
• Infringement of third-party rights through uploaded data
• Violation of applicable laws or regulations

10. Termination

Scholytics reserves the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Fail to pay applicable subscription fees
• Misuse the platform in any way

Schools may terminate their account at any time by contacting support. Upon termination, data will be handled in accordance with our Data Processing Agreement.

11. Intellectual Property

All content, design, functionality, and intellectual property of the Scholytics platform belong exclusively to Scholytics. This includes but is not limited to:

• Software code and architecture
• User interface design and graphics
• Trademarks, logos, and branding
• Documentation and training materials

Schools retain ownership of their data but grant Scholytics a limited license to use the data solely for providing the Service.

12. Third-Party Services

The Service may integrate with or contain links to third-party services. Scholytics does not control and is not responsible for the content, privacy policies, or practices of any third-party services.

13. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will notify schools of material changes via email or through the platform. Continued use of the Service after such updates constitutes acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiations. If resolution cannot be reached, the dispute shall be resolved in the courts of Ghana.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. No Waiver

The failure of Scholytics to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Scholytics regarding the use of the Service.
